PROMPTWRK CREATOR AGREEMENT

This Creator Agreement ("Agreement") governs your participation as a Creator on PromptWrk. PromptWrk is operated by PromptBank Pty Ltd (ACN 691 473 079), an Australian company based in Sydney, New South Wales.

By applying to become a Creator or by uploading prompts to PromptWrk, you confirm that you have read, understood, and agree to be bound by this Agreement, the PromptWrk Terms of Use, and the PromptWrk Privacy Policy. If you do not agree, you must not upload prompts to PromptWrk.

PromptWrk exists to distribute high-quality prompt systems created by real creators. To maintain the value, trust, and integrity of the platform, all creators must follow the rules and terms set out below.

1. CREATOR ELIGIBILITY AND APPLICATION

1.1 Eligibility

To publish prompts on PromptWrk, you must:

• Be at least 18 years old
• Own the prompts you upload, or have the legal right to distribute them
• Provide accurate, current, and complete account, identity, and payment information
• Maintain an active PromptWrk Account
• Comply with all applicable laws in your jurisdiction

Creators may not upload prompts that belong to clients, employers, or other creators without permission.

1.2 Application and Approval

Becoming a Creator requires submitting an application via the Service and being approved by PromptWrk. PromptWrk reserves the right to approve, decline, or revoke Creator status at its sole discretion. Approval is not guaranteed.

2. OWNERSHIP OF PROMPTS

2.1 Creator Ownership

You retain ownership of all prompts and related materials you upload to PromptWrk ("Creator Content"). PromptWrk does not claim ownership of Creator Content.

2.2 Licence Granted to PromptWrk

By uploading Creator Content, you grant PromptWrk a non-exclusive, worldwide, royalty-free licence to host, store, process, display, distribute, market, and promote the Creator Content on the platform and in marketing materials for the purpose of operating the PromptWrk Service.

This licence continues for as long as the Creator Content is active on PromptWrk and, after removal, only to the extent necessary for transaction records, legal compliance, and historical platform integrity.

3. EXCLUSIVITY

Creator Content uploaded to PromptWrk must be exclusive to PromptWrk.

You agree that any prompt uploaded to PromptWrk:

• Will not be listed, sold, distributed, shared, or otherwise made available on any other prompt marketplace, prompt-sharing platform, or competing service while it is active on PromptWrk
• Will not be uploaded to PromptBase, FlowGPT, PromptHero, Snack Prompt, Gumroad, or any similar platform
• Will not be made available through your personal website, newsletter, or any other paid or free distribution channel

This exclusivity applies on a per-prompt basis. You may list different prompts on other platforms, but each individual prompt uploaded to PromptWrk is exclusive to PromptWrk for as long as it is active on the Service.

Personal use of your own prompts (including private use, use in your own business, or use in client work) is not restricted by this clause.

Breach of this exclusivity provision is grounds for immediate removal of Creator Content, termination of Creator status, and forfeiture of unpaid earnings under Section 11.

4. PUBLIC DISCLOSURE OF PROMPTS

Prompts listed on PromptWrk must not be publicly shared for free outside the platform.

Creators may not publish the full prompt, or a substantial portion of the prompt, in any publicly accessible location. This includes:

• Social media posts
• Comments or threads
• YouTube descriptions
• Public tutorials or guides
• Blog posts or public documents
• Public Discord servers or community channels

Any disclosure that allows people to reasonably recreate the prompt without accessing it through PromptWrk may be considered a violation of this Agreement.

5. PROMOTION OF PROMPTS

Creators are encouraged to promote their prompts and the content created with them. As a Creator, you may:

• Share outputs generated using your prompts
• Explain the concept or technique behind the prompt at a high level
• Direct audiences to PromptWrk to access the prompt

You must not publicly reveal the prompt text itself or enough of the prompt for others to recreate it.

6. PROMPT QUALITY STANDARDS

Prompts listed on PromptWrk must provide clear value and produce results consistent with their description.

Creators must not:

• Upload low-quality or incomplete prompts
• Use misleading example outputs
• Claim results the prompt cannot realistically produce
• Submit duplicate or near-duplicate prompts
• Use automated tools to inflate engagement with their own Creator Content
• Manipulate Token consumption, ratings, downloads, or other platform metrics

PromptWrk reserves the right, at its sole discretion, to:

• Decline to publish any submitted Creator Content
• Remove, hide, or disable access to any Creator Content that does not meet PromptWrk's quality standards, brand guidelines, or community expectations
• Edit Creator Content metadata (titles, descriptions, categories) to align with PromptWrk's content standards

PromptWrk's quality assessment is final and not subject to dispute, except where required by law.

7. PROHIBITED CONTENT

Creators may not upload prompts that generate or promote:

• Illegal activities
• Harassment or hate speech
• Exploitative, abusive, or non-consensual content
• Sexual content involving minors (strictly prohibited)
• Fraud, scams, or deceptive practices
• Attempts to bypass AI safety systems
• Malware, security exploits, or system attacks
• Defamatory or unlawful content

PromptWrk will remove any prompt that violates these standards and may terminate the Creator's status.

8. CREATOR EARNINGS AND COMMISSION

8.1 Commission Split

When a subscriber consumes Tokens to access your Creator Content, the Token value is split as follows:

• PromptWrk: 60%
• Creator: 40%

8.2 Token Value for Commission Purposes

For the purpose of calculating Creator earnings, Tokens have the following USD value:

• 60 Tokens = USD $1.00

Token values may be updated by PromptWrk from time to time, with reasonable advance notice to Creators. Changes apply prospectively only.

8.3 Example Calculation

If a subscriber consumes 120 Tokens to access a video prompt:

• Total Token value: USD $2.00
• PromptWrk commission (60%): USD $1.20
• Creator earnings (40%): USD $0.80

8.4 Modification of Commission Structure

PromptWrk may modify the commission split, Token values, pricing models, payout schedules, or creator programs as the platform evolves. Any changes will:

• Apply prospectively only and will not retroactively reduce earnings already accrued
• Be communicated to Creators with reasonable advance notice (typically at least 30 days) via the email address associated with the Creator Account

9. PAYOUTS

9.1 Payout Threshold

The minimum payout balance is USD $50.00. Creators may receive a payout once their earnings balance reaches or exceeds this threshold.

Earnings below this amount remain in your Creator Account until the threshold is met.

9.2 Payout Frequency

Payouts are processed on a fortnightly basis, subject to:

• Reaching the minimum payout threshold of USD $50.00
• Completion of identity and bank account verification
• No active fraud, chargeback, or compliance investigations

If the threshold has not been met by a scheduled payout date, your payout will be issued in the next fortnightly cycle after the threshold is reached.

9.3 Payout Method and Currency

Payouts are made via Wise (or another payment processor selected by PromptWrk from time to time) to the bank account nominated by the Creator.

Creator earnings are calculated and held in USD. You may elect to convert earnings to your local currency at the time of payout, subject to applicable foreign exchange fees and conversion rates determined by PromptWrk's payment processors.

9.4 Payout Fees

Payouts are subject to the following fees, which are deducted from the payout amount:

• PromptWrk processing fee, as disclosed in the Creator Wallet at the time of payout request
• Payment processor fee (e.g., Wise transfer fee), as charged by the payment processor
• Foreign exchange conversion fees, where the payout is converted to a non-USD currency, as determined by the payment processor's prevailing rates

All applicable fees are disclosed in the Creator Wallet at the time of payout request, before you confirm the payout.

9.5 Verification Requirements

Before any payout can be processed, Creators must complete account verification, which may include:

• Government-issued photo identification
• Proof of address
• Bank account ownership verification
• Tax residency declaration
• Any other information reasonably required by PromptWrk or its payment processors

PromptWrk may withhold payouts pending completion of verification.

9.6 Tax Responsibility

You are solely responsible for your own tax obligations, including:

• Reporting income earned through PromptWrk to relevant tax authorities
• Paying any applicable income tax, GST, VAT, sales tax, or other taxes in your jurisdiction
• Maintaining records of earnings and payouts

PromptWrk does not withhold taxes on Creator payouts. You may be required to provide tax-related information (such as a tax identification number or W-8/W-9 forms for non-US/US persons respectively) where required by law.

10. WITHHOLDING, CHARGEBACKS, AND ADJUSTMENTS

10.1 Withholding and Adjustments

PromptWrk may withhold, delay, or adjust payouts where reasonably necessary to:

• Investigate suspected fraud, manipulation, or breach of this Agreement
• Manage chargebacks, payment disputes, or refund obligations
• Comply with legal, tax, or regulatory requirements
• Recover amounts owed by the Creator to PromptWrk

Where amounts are withheld, PromptWrk will notify you within a reasonable time and outline the reason and any steps required to resolve the matter.

10.2 Chargebacks and Refunds

If a transaction involving Creator Content is subject to a chargeback, refund, or payment dispute, the corresponding Creator earnings for that transaction may be reversed or adjusted.

Where a chargeback or refund occurs after the Creator has been paid out, PromptWrk may recover the amount from future Creator earnings or directly from the Creator where permitted by law.

11. REMOVAL AND TERMINATION

11.1 Removal of Creator Content by Creator

You may request removal of any of your Creator Content at any time by emailing contact@promptwrk.com with the prompt identifier and removal request.

PromptWrk will action removal requests within a reasonable timeframe (typically within 10 business days).

Subscribers who have downloaded or saved removed Creator Content prior to removal may retain their downloaded copies for personal use. Removal does not affect commissions already earned on prior transactions.

11.2 Voluntary Termination by Creator

You may voluntarily end your participation in the Creator Marketplace at any time by emailing contact@promptwrk.com. Upon voluntary termination:

• All Creator Content will be removed from the Service
• Any unpaid earnings at or above the USD $50.00 payout threshold will be paid out at the next scheduled payout cycle, subject to verification and compliance checks
• Any unpaid earnings below the USD $50.00 payout threshold may be held for up to 12 months. If you have not requested payout (and met verification requirements) within that period, the balance is forfeited to PromptWrk

11.3 Termination by PromptWrk

PromptWrk may terminate Creator status at any time, with or without cause, by written notice to the Creator. The consequences of termination are:

Termination for cause (including breach of this Agreement, fraud, intellectual property infringement, breach of exclusivity, prohibited content uploads, or unlawful conduct):

• All Creator Content is removed from the Service
• Unpaid earnings may be forfeited to PromptWrk, subject to applicable law

Termination without cause (PromptWrk discretion, not related to Creator conduct):

• All Creator Content is removed from the Service
• Unpaid earnings will be paid out at the next scheduled payout cycle, regardless of the USD $50.00 threshold

11.4 Effect of Termination

Upon termination of Creator status:

• All Creator Content is removed from the Service
• Subscribers who previously downloaded or saved Creator Content may retain their personal copies
• The exclusivity obligations in Section 3 cease to apply to removed Creator Content
• The licence granted to PromptWrk in Section 2.2 ends, except to the extent necessary for transaction records, legal compliance, and historical platform integrity

12. PLATFORM MODERATION AND VISIBILITY

12.1 Moderation Rights

PromptWrk reserves the right to review, remove, edit, or restrict prompts and creator accounts if necessary to maintain the quality and integrity of the platform. This may include removing prompts that violate this Agreement or create legal, reputational, or marketplace risks.

12.2 Platform Visibility and Ranking

PromptWrk determines how prompts are displayed, ranked, and promoted on the platform. Factors such as performance, user engagement, quality, and platform needs may influence visibility.

PromptWrk does not guarantee traffic, visibility, ranking position, sales volume, downloads, or revenue for any Creator Content.

13. CREATOR INDEMNITY

In addition to the general indemnity in the PromptWrk Terms of Use, you specifically indemnify PromptWrk and its officers, employees, and contractors against any claims, losses, or damages arising from:

• Infringement of third-party intellectual property, privacy, publicity, or other rights by your Creator Content
• Misrepresentation by you about the nature, quality, origin, or capabilities of your Creator Content
• Your tax obligations or failure to comply with tax law in your jurisdiction
• Your breach of this Agreement

This indemnity does not apply to claims caused by PromptWrk's own acts or omissions, and is limited to the value of earnings paid to you by PromptWrk in the 12 months preceding the claim, except where prohibited by law.

14. CHANGES TO THIS AGREEMENT

PromptWrk may update this Agreement from time to time. Material changes (including changes to commission rates, payout thresholds, or fee structures) will be communicated to Creators with reasonable advance notice (typically at least 30 days) via the email address associated with the Creator Account, and will apply prospectively only.

By continuing to use the platform as a Creator after the effective date of any changes, you agree to follow the most recent version of this Agreement.

15. GOVERNING LAW AND DISPUTES

This Agreement is governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of that State and the Commonwealth of Australia.

Creator disputes are first to be raised by email to contact@promptwrk.com. PromptWrk will endeavour to resolve disputes informally before any formal legal action is taken.

Nothing in this Agreement excludes, restricts, or modifies any rights or remedies under the Australian Consumer Law or other applicable laws that cannot be excluded.

By submitting your Creator application and uploading prompts to PromptWrk, you acknowledge that you have read, understood, and agree to be bound by this Creator Agreement, the PromptWrk Terms of Use, and the PromptWrk Privacy Policy.
